END USER LICENSE AGREEMENT (EULA)

SameTeam is licensed to You (End-User) by SameTeam, LLC, located at 12913 Marsteller Drive, #761, Nokesville, Virginia 20181, United States (hereinafter: “Licensor”), for use only under the terms of this License Agreement.

By downloading the Application from the Apple App Store or Google Play Store, and any updates thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all the terms and conditions of this License Agreement.

The parties acknowledge that Apple and Google are not parties to this License Agreement and are not responsible for the Application or its content. SameTeam, LLC, and not Apple or Google, is solely responsible for the licensed Application and the content thereof.

This License Agreement does not conflict with the Apple App Store Terms of Service or Google Play Terms of Service. SameTeam, LLC acknowledges that it has reviewed those terms.

All rights not expressly granted to You are reserved.

1. THE APPLICATION

SameTeam (hereinafter: “Application”) is a software application designed to facilitate group coordination, communication, and event planning via mobile devices running Apple iOS or Google Android operating systems. The Application enables users to create events, coordinate participation, communicate with group members, and organize group-based activities.

The Application is not intended to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA), or similar regulated data-handling frameworks. You agree not to use the Application for activities that require compliance with such regulations.

2. SCOPE OF LICENSE

2.1 You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Application on Apple-branded or Android-branded devices that You own or control, subject to the applicable Usage Rules of the Apple App Store or Google Play Store. Family Sharing or similar account-based access is permitted where allowed by those platforms.

2.2 This license applies to any updates provided by the Licensor that replace or supplement the Application, unless such updates are accompanied by a separate license.

2.3 You may not sell, rent, lease, lend, redistribute, or otherwise make the Application available to third parties, except as expressly permitted by the Apple App Store or Google Play Store terms.

2.4 You may not reverse engineer, decompile, disassemble, translate, modify, or attempt to derive the source code of the Application or create derivative works thereof, except where permitted by law or with prior written consent from SameTeam, LLC.

2.5 You may not copy or alter the Application except as expressly authorized by this license or applicable platform terms. You may create backup copies only on devices You own or control. You may not remove any intellectual property notices.

2.6 Any violation or attempted violation of this license may result in termination and potential legal liability.

2.7 SameTeam, LLC reserves the right to modify the terms of this License Agreement.

2.8 Nothing in this license restricts third-party terms. You are responsible for complying with all applicable third-party agreements.

3. TECHNICAL REQUIREMENTS

3.1 The Application requires a compatible iOS or Android device running a supported operating system version.

3.2 SameTeam, LLC may update the Application to maintain compatibility with newer operating systems or devices but does not guarantee continued support for all versions.

3.3 You are responsible for ensuring that your device meets technical requirements.

3.4 Technical specifications may be modified at any time.

4. MAINTENANCE AND SUPPORT

4.1 SameTeam, LLC is solely responsible for providing maintenance and support services. Support contact details are listed in the App Store or Play Store listing.

4.2 Apple and Google have no obligation to provide maintenance or support services for the Application.

5. USER-GENERATED CONTENT

The Application may allow users to create, post, transmit, or share content (“Contributions”), including text, images, messages, or other materials. Contributions may be visible to other users depending on Application settings.

You represent and warrant that your Contributions:

  • Do not infringe any third-party rights

  • Are lawful, accurate, and non-misleading

  • Do not contain harassment, hate speech, explicit material, or illegal content

  • Do not exploit or solicit minors

  • Comply with all applicable laws and these Terms

Use of the Application in violation of these terms may result in suspension or termination.

SameTeam does not actively monitor private group content but reserves the right to remove content that violates these terms if reported or discovered.

6. CONTRIBUTION LICENSE

By submitting Contributions, you grant SameTeam, LLC a non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and distribute such Contributions solely for the purpose of operating, improving, securing, and providing the Application.

This license does not permit the use of private group content for advertising or marketing without explicit user consent.

You retain ownership of your Contributions. SameTeam, LLC does not claim ownership and is not responsible for user-generated content.

7. LIABILITY

7.1 SameTeam, LLC’s liability is limited to cases of intent or gross negligence, except where prohibited by law. Liability is limited to foreseeable damages.

7.2 SameTeam, LLC is not responsible for damages resulting from misuse, unauthorized modification, or data loss. Users are responsible for backing up their data where applicable.

8. WARRANTY

8.1 The Application is provided “as is” and “as available.” SameTeam, LLC warrants that the Application is free of malware at the time of download.

8.2 No warranty applies where issues arise from misuse, modification, incompatible devices, or third-party software.

8.3 Issues must be reported to support@sameteam.app within thirty (30) days of discovery.

8.4 SameTeam, LLC may remedy defects at its discretion.

8.5 If the Application fails to conform to an applicable warranty, you may notify the App Store operator for a refund, where applicable.

9. PRODUCT CLAIMS

SameTeam, LLC is responsible for addressing claims related to the Application, including product liability, legal compliance, and consumer protection claims. Apple and Google are not responsible for such claims.

10. LEGAL COMPLIANCE

You represent that you are not located in a country subject to U.S. embargo and are not on any prohibited or restricted party list.

11. PRIVACY POLICY

Use of the Application is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is available within the Application and on our website.

12. TERMINATION

This license remains in effect until terminated by You or SameTeam, LLC. Upon termination, you must cease all use of the Application and destroy all copies.

13. THIRD-PARTY BENEFICIARIES

Apple, Google, and their subsidiaries are third-party beneficiaries of this License Agreement and may enforce it against You.

14. INTELLECTUAL PROPERTY

SameTeam, LLC is solely responsible for handling intellectual property claims related to the Application.

15. GOVERNING LAW

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

16. MISCELLANEOUS

16.1 If any provision is found invalid, the remaining provisions remain in effect.

16.2 Changes to this Agreement must be made in writing.
